Updating Information of Entities / Firms and Officers / Owners

Any changes to your business entities / firms and the officers / owners must be updated with the regulatory authority ACRA within the stipulated grace period in Singapore otherwise even late notification may attract with penalties. The grace period may vary according to the type of entities, firms or nature of updates.
Generally, the Directors of the company and owner of Sole Proprietorship / Partnership are responsible to notify the Company Secretary / Corporate Service Provider who would then prepare the necessary documents to get approved by the authorised representatives of the entities / firms before lodging with the regulatory authority ACRA in due course.
Upon lodgement with ACRA, the Company Secretary / Corporate Service Provider would then provide with the acknowledgement of updates to the clients and update the necessary registers whichever are applicable and required.

Updating Information of Companies and Company Officers

You must update ACRA in a timely manner if there are changes to your company’s information such as changes to company officers, authorised representatives and shareholders.
You must update your company’s information with the regulatory authority ACRA within 14 days if there are the following changes to your company’s:

Changing your company’s name
  • You can apply to change your company’s name for a fee with our administrative fees. The application may require in-principle approval from referral authorities depending on your proposed name.
Updating your company’s information
  • Business activity
  • Registered address
  • Office hours
  • Place where register of members and index is kept (Note: applies to companies that were incorporated before 3 January 2016)
Appointments or cessation of company officers and auditors
  • For appointment of new company officers or auditors, companies need to provide the following details:
  • Name
  • Identification number
  • Nationality
  • Residential address
  • Alternate address (if any)
  • Contact number and e-mail address
  • Position held
  • Appointment date
  • Cessation date
Change in particulars of company officers (e.g. director, company secretary, auditor, CEO):
  • Name (note: deed poll must be attached)
  • Identification type
  • Identification number
  • Land/fixed line number
  • Mobile number
  • E-mail address
  • Residential address
  • Company officers can apply for an alternate address anytime for a fee. The alternate address will be displayed in public records instead of the residential address. It must be an address where the officer can be contacted, and must be within the same jurisdiction as their residential address. It cannot be a P.O. box address.
Change in particulars of shareholders
  • You must maintain the latest information on your company’s shareholders with ACRA. When there are any new shareholders, then the personal particulars will be updated while filing the β€œReturn of Allotment of Shares” with the authority otherwise any of the following changes are to be updated within 14 days from the date of change:
  • Name
  • Identification type
  • Identification number
  • Nationality
  • Land/fixed Line number
  • Mobile number
  • Email address
  • Residential address
  • Occupation
  • Cessation

Change in Foreign Company’s name and information

Change in foreign company’s name
  • Foreign companies can apply for a new company name if their head office changes their name. It may require in-principle approval depending on the proposed name. When the name application has been approved, foreign companies are required to lodge a Notice of Change of Company Name to take effect.
Updating your foreign company’s information
  • Foreign companies must update the information with the regulatory authority ACRA within 30 days if there are changes in:
  • Appointment or cessation of authorised representatives or directors
  • Location where branch register of members is kept
  • Registered office address and office hours
  • Company activity and legal form in place of incorporation/origin
Appointment/Cessation of authorised representatives or directors
  • To appoint new authorised representatives or directors for your foreign company, you will need to provide the following details:
  • Name
  • Identification number
  • Nationality
  • Date of birth
  • Land/fixed line number
  • Residential address
  • Alternate address (if any)
  • E-mail address
  • Position held
  • Appointment date
  • Cessation date
Change in particulars of authorised representative or director of a foreign company
  • Foreign companies must update the information with the regulatory authority ACRA within 30 days if there are changes to your foreign company’s authorised representatives’ or directors’:
  • Name (note: deed poll must be attached)
  • Identification type
  • Identification number
  • Land/fixed line number
  • Mobile number
  • E-mail address
  • Residential address
  • Authorised representatives and directors can apply for an alternate address to be reflected in place of the residential address in ACRA’s public records and business information products for a fee. Β Please note that it must be an address where the officer can be contacted, within the same jurisdiction as their residential address. It cannot be a P.O. box address.
Change in the Charter, Statute, Memorandum/Articles or other Instruments of Foreign Company
  • If your foreign company’s head office has changes in the Charter, Statute or Memorandum/Articles, you should submit the supporting documents – notarised, or certified true copy – to the regulatory authority ACRA within 30 days.
Notarisation (for foreign company)
  • The supporting documents to lodge the changes in your head office’s Charter, Statute or Memorandum/Articles must first be certified to be true copy. This process is also referred to as notarisation.
  • Note: Notarisation is conducted by a notary public, who will authenticate the relevant documents. Once the notary public is satisfied, you will be provided with a notarial certificate. This will include the notary public’s full name, signature, and seal.

Updating Information of Limited Partnerships

You must notify ACRA if there are changes to the business address, operating hours, business activities, managers, etc.
You must update the following information relating to a partner or manager with the regulatory authority ACRA within 14 days from the date of change:

Changes in Personal Particulars of Partners or Managers for Limited Partnership
  • Name (note: the related deed poll must be attached)
  • Identification type
  • Identification number
  • Nationality
  • Land/fixed line number
  • Mobile number
  • E-mail address
  • Residential address
  • Partners and managers of a LP can apply for an alternate address to be reflected in place of their residential address in ACRA’s public records and business information products for a fee. Please note that it must be an address where you can be contacted, within the same jurisdiction as your residential address. P.O. box address is not allowed.
Changes in Business Information for LP
  • Business activity
  • Principal place of business
  • Partners or managers of the Limited Partnership
  • Conversion of Limited Partnership
  • You can apply to change your entity name for a fee. The application may require in-principle approval from referral authorities depending on your proposed name.
Appointments/Cessation of Partners or Managers for Limited Partnerships
  • If you want to appoint or withdraw a partner or manager, you will need endorsement from the other partners or manager (if any).
  • Endorsements must be completed online within 14 days from the initial submission date. Otherwise, the application will lapse and you will have to submit a new application.
  • You are advised to inform the other partners/manager before you apply to make changes, so as to prevent any delay in obtaining their endorsement.

Note: The endorsement is necessary when you are not engaging a professional Corporate Service Provider like ACHI BIZ.

 

Updating Information of Limited Liability Partnerships

You must notify ACRA if there are changes to the business address, operating hours, business activities, managers, etc.
You must update the following information relating to a partner or manager with the regulatory authority ACRA within 14 days from the date of change:

Changes in Personal Particulars of Partners or Manager of LLP
  • Name (note: the related deed poll must be attached)
  • Identification type
  • Identification number
  • Nationality
  • Land/fixed line number
  • Mobile number
  • E-mail address
  • Residential address
  • Partners and managers of a LLP can apply for an alternate address to be reflected in place of their residential address in ACRA’s public records and business information products for a fee. Please note that it must be an address where you can be contacted, within the same jurisdiction as your residential address. P.O. box address is not allowed.
Changes in LLP Information
  • Business activity
  • Principal place of business
  • Partners or managers

  • Name (note: deed poll must be attached)
  • Identification type
  • Identification number
  • Land/fixed line number
  • Mobile number
  • E-mail address
  • Residential address
  • Business owners and authorised representatives can apply for an alternate address to be reflected in place of their residential address in ACRA’s public records and business information products.
  • Please note that it must be an address where you can be contacted, within the same jurisdiction as your residential address. It cannot be a P.O. box address.
